Winncare and Scemed announce entering into exclusive discussions

Septentrion Finance has acted as exclusive advisor to the shareholders of SCEMED in connection with the planned acquisition of the company by WINNCARE, a group majority-backed by Siparex ETI since 2021.
Scemed, one of the leading French manufacturers and distributors of medical transfer and hygiene equipment, would represent the third major external growth transaction completed by Winncare since Siparex ETI became majority shareholder.
Winncare Group, chaired by Laurent Faugère, is one of the European leaders in the manufacture of medical equipment designed to improve the quality of life of people with loss of autonomy, as well as those who care for them (caregivers, healthcare professionals). The Group, active in two strategic markets (home care and nursing homes), offers a comprehensive product and service portfolio including therapeutic mattresses and cushions to prevent pressure ulcers, connected devices and lifting cushions to manage falls, medical beds, transfer systems, and more. With 5 commercial subsidiaries across France, Spain, Denmark, Poland, and the UK, and 9 production units (in France, the UK, Spain, Poland, and Tunisia), Winncare has doubled in size since Siparex ETI’s entry, with revenues around €150 million and nearly 800 employees.
Founded in 1994 and based in Halluin (Nord, France), Scemed (including SC Productions) is a French company specializing in the manufacture and distribution of medical equipment for healthcare facilities (hospitals, clinics, nursing homes, maternity wards). Its business comprises two main areas: transfer equipment (ceiling hoists, standing aids, etc.) and hygiene equipment (therapeutic bathtubs, shower chairs and trolleys, etc.). Through innovative solutions, Scemed improves the well-being of patients and the working conditions of healthcare staff. Scemed generates over €15 million in revenues in a rapidly growing market.
Following the acquisitions of Pharmaouest and Herida Medical in the UK, this transaction would mark Winncare’s third major external growth operation since Siparex ETI became the majority shareholder in 2021. This merger would create significant synergies and allow Winncare to strengthen its transfer equipment offering.
